These Terms and Conditions ("Terms") govern your access to and use of the WELL Community membership program ("WELL" or "the Service") provided by Equip4Life Pty Ltd ("we", "us", "our", or "Equip4Life").
By registering for WELL, accessing our platform, or participating in any WELL sessions, you ("you", "your", or "Member") agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service.
Please read these Terms carefully and retain a copy for your records.
1. Overview of Services
1.1 WELL is an online, education-based membership program designed to support weight loss and wellbeing through evidence-based strategies.
1.2 The Service includes:
(a) Weekly group education sessions delivered by qualified health professionals, including Dietitians and Exercise Physiologists;
(b) Sessions may be delivered live or, when necessary, via pre-recorded video (such as during staff leave, illness, or public holidays);
(c) Recorded session replays available for limited periods;
(d) Educational content including (but not limited to) weight loss strategies, nutrition education, product swaps, healthy recipes, exercise tips, and member Q&A;
(e) Access to the member platform and any associated resources.
1.3 Currently, two session times are offered each week (Tuesday 8pm and Wednesday 6pm AEDT/AEST). Session times, frequency, and format are subject to change at our discretion.
1.4 When pre-recorded sessions are used, members may still submit questions via the platform. Selected questions will be considered for the following live session or via other communication methods at our discretion.
1.5 We reserve the right to modify, update, enhance, or discontinue any aspect of WELL at our discretion, including session times, content format, platform features, or the Service entirely, subject to the notice requirements in Clause 11.
2. Eligibility and Member Responsibilities
2.1 Membership is open to individuals who:
(a) Are Australian residents;
(b) Are 18 years of age or older;
(c) Have the legal capacity to enter into binding contracts.
2.2 By registering, you confirm that you meet these eligibility requirements and that all information provided during registration is true, accurate, and complete.
2.3 You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.
2.4 You must notify us immediately of any unauthorized access to or use of your account.
3. Free Trial Period
3.1 New Members are eligible for a 28-day (4-week) free trial period ("Free Trial"), during which you can access WELL sessions and content at no charge.
3.2 The Free Trial is available once per person. We reserve the right to verify eligibility and deny Free Trial access to individuals who have previously participated or who we reasonably believe are attempting to abuse the offer.
3.3 During the Free Trial, you will have access to all standard membership features.
3.4 You may cancel your membership at any time during the Free Trial without charge. If you do not cancel before the Free Trial ends, your membership will automatically convert to a paid subscription at the applicable rate.
4. Paid Membership and Subscription
4.1 Following the Free Trial period, your membership will continue as a paid subscription at the selected membership rate.
4.2 Current membership pricing (as of 29/1/2026):
(a) Founder Member rate: $19/99 per month (billed monthly)
(b) Standard rate: $24.99 per month (billed monthly)
4.3 Your subscription will continue on a rolling weekly basis until you cancel. There are no lock-in contracts or minimum commitment periods.
4.4 Founder Member pricing is offered to early adopters and may not be available to new Members in the future. If you are on a Founder Member rate, this rate will be honoured for as long as you maintain continuous active membership, subject to Clause 4.5.
4.5 We reserve the right to change membership pricing with at least 30 days' written notice to active Members. You will have the option to accept the new pricing or cancel your membership before the change takes effect.
5. Billing and Payment
5.1 All payments are processed securely through Stripe payment gateway via our platform provider, Kajabi.
5.2 By subscribing to WELL, you authorize Equip4Life to charge your nominated payment method (credit card, debit card, or other accepted payment method) on a recurring weekly basis for your membership fees.
5.3 Payments are processed automatically each week on the same day of the week as your subscription commenced.
5.4 It is your responsibility to ensure that your payment method details are current and that sufficient funds are available for billing.
5.5 If a payment fails or is declined:
(a) We will attempt to notify you via email;
(b) Your access to WELL may be suspended until payment is successfully processed;
(c) We reserve the right to terminate your membership if payment issues are not resolved within 14 days.
5.6 All prices are in Australian dollars (AUD) and include GST where applicable.
6. Cancellation and Refunds
6.1 You may cancel your WELL membership at any time through your member account portal or by contacting us at [email protected].
6.2 There are no lock-in contracts, cancellation fees, or penalties for cancelling your membership.
6.3 Upon cancellation:
(a) You will retain access to WELL until the end of your current paid billing period;
(b) No further charges will be made to your payment method;
(c) You will no longer have access to session replays or member resources after your billing period ends.
6.4 Refunds are generally not provided for partially used membership periods. However, in exceptional circumstances, refund requests will be considered on a case-by-case basis at the sole discretion of Equip4Life.
6.5 If you believe you are entitled to a refund under Australian Consumer Law, please contact us to discuss. Nothing in these Terms limits your rights under Australian Consumer Law.
7. Session Access and Recordings
7.1 Sessions are held weekly at scheduled times (currently Tuesday 8pm and Wednesday 6pm AEDT/AEST, subject to change).
7.2 Sessions may be delivered live or via pre-recorded video content when necessary, including during:
(a) Staff leave or holidays;
(b) Unexpected staff illness;
(c) Public holidays;
(d) Other circumstances requiring alternative delivery methods.
7.3 When pre-recorded content is used, Members may submit questions via the platform, and selected questions will be answered in the next available live session or through other appropriate means.
7.4 If you cannot attend a session, a recording will be made available in your member portal.
7.5 Session recordings are available for 7 days only from the date of the session. After this period, recordings are automatically removed from the platform.
7.6 Access to sessions, recordings, and all WELL content is limited to active, registered, paying Members only.
7.7 You must not:
(a) Share your login credentials with any other person;
(b) Share session links, access codes, or passwords with non-members;
(c) Allow any unauthorized person to access WELL content through your account.
7.8 We reserve the right to monitor account usage and may suspend or terminate accounts that show signs of credential sharing or unauthorized access.
8. Intellectual Property and Content Protection
8.1 All content provided through WELL, including but not limited to:
(a) Session videos and recordings (live and pre-recorded);
(b) Presentation slides and visual materials;
(c) Written educational materials, handouts, and guides;
(d) Recipes, meal plans, and nutrition information;
(e) Logos, branding, website design, and platform interface;
(f) Any other materials, resources, or intellectual property provided as part of WELL;
is the exclusive intellectual property of Equip4Life Pty Ltd and is protected by Australian and international copyright laws, trademark laws, and other intellectual property rights.
8.2 Your membership grants you a limited, non-exclusive, non-transferable, revocable license to access and view WELL content solely for your personal, non-commercial use during your active membership period.
8.3 You expressly agree that you will NOT:
(a) Record, screen record, download, or save any WELL session videos or video content by any means;
(b) Share, distribute, publish, transmit, or make available any WELL videos or video content to any third party, including on social media, websites, file-sharing platforms, or any other medium;
(c) Copy, reproduce, duplicate, or create derivative works from any WELL content;
(d) Use any WELL content for commercial purposes or financial gain;
(e) Modify, edit, or alter any WELL content;
(f) Remove, obscure, or alter any copyright notices, trademarks, or proprietary rights notices from any WELL content;
(g) Use any automated systems, bots, scrapers, or similar tools to access or download WELL content.
8.4 You MAY take screenshots of session content for your own personal reference and note-taking purposes only. Screenshots must not be shared publicly, distributed to others, or used for any commercial purpose.
8.5 Unauthorized recording, downloading, or distribution of WELL video content is a serious breach of these Terms and may also constitute copyright infringement under the Copyright Act 1968 (Cth).
8.6 If we become aware of any unauthorized recording, downloading, or distribution of WELL video content:
(a) We will immediately terminate your membership without refund;
(b) You will be permanently banned from rejoining WELL;
(c) We reserve the right to pursue legal action and claim damages for copyright infringement, breach of contract, and any other applicable causes of action.
8.7 You may take personal handwritten or typed notes during sessions for your own private use. Such notes remain subject to these Terms and must not be shared publicly or commercially.
8.8 We may employ technical measures, including watermarking, to protect our content and identify sources of unauthorized distribution.
9. Health Disclaimer and Medical Advice
9.1 WELL provides general health education and lifestyle information only. It is NOT a medical service, medical advice, or a substitute for professional medical, dietary, or psychological care.
9.2 The information provided through WELL is for educational purposes and is based on general and current evidence-based information. It is not tailored to your individual medical history, health status, or specific circumstances.
9.3 WELL is designed to support general weight loss and wellbeing goals for generally healthy adults. It is NOT suitable as a sole treatment for:
(a) Eating disorders or disordered eating;
(b) Complex medical conditions requiring specialized care;
(c) Pregnancy or breastfeeding (without prior consultation with your healthcare provider);
(d) Individuals under 18 years of age;
(e) Bariatric surgery patients (without consultation with their surgical and medical team).
(f) Individuals requiring specialized or supervised nutrition care due to medical conditions, food allergies and/or intolerances, or metabolic disorders (without healthcare provider consultation).
9.4 You must consult your healthcare provider before:
(a) Starting any new diet, exercise program, or weight loss approach;
(b) Making significant changes to your eating patterns or physical activity level;
(c) Implementing any strategies discussed in WELL sessions if you have existing medical conditions or are taking medications.
9.5 By participating in WELL, you acknowledge that you are responsible for your own health decisions and that Equip4Life is not responsible for any health outcomes, injuries, or adverse effects resulting from your participation or implementation of information learned through WELL.
9.6 If you experience any concerning symptoms, adverse reactions, or health issues, discontinue any changes you have made and seek immediate medical attention from a qualified healthcare professional.
10. User Conduct and Community Standards
10.1 WELL is a supportive community, and all Members are expected to engage respectfully and constructively.
10.2 You must not:
(a) Engage in harassment, bullying, intimidation, or discrimination of any kind toward other Members, facilitators, or staff;
(b) Use offensive, abusive, threatening, or inappropriate language;
(c) Share personal or confidential information about other Members without consent;
(d) Spam, solicit, or promote other products, services, or commercial ventures within WELL sessions or community spaces;
(e) Provide medical advice to other Members or represent yourself as a health professional unless you are acting in an official capacity as a WELL facilitator;
(f) Disrupt sessions, monopolize facilitator time, or behave in a manner that interferes with other Members' experience;
(g) Use WELL for any unlawful purpose or in violation of any applicable laws or regulations.
10.3 Equip4Life reserves the right to:
(a) Issue warnings to Members who violate community standards;
(b) Remove Members from individual sessions for disruptive behaviour;
(c) Suspend or permanently terminate membership without refund for serious or repeated violations of these Terms.
10.4 Termination for breach of conduct standards is at our sole discretion and is final.
11. Service Modifications, Suspension, and Termination
11.1 Equip4Life operates WELL with the intention of providing ongoing, quality education and support. However, we reserve the right to modify, suspend, or discontinue WELL (in whole or in part) at any time.
11.2 We may make changes to WELL including:
(a) Session times, frequency, or format;
(b) Delivery method (live sessions vs pre-recorded content);
(c) Platform features or functionality;
(d) Content topics or structure;
(e) Facilitators or presenters.
11.3 If we decide to permanently discontinue WELL or make material changes that substantially reduce the value or nature of the Service, we will provide at least 30 days' written notice to active Members.
11.4 In the event of permanent discontinuation:
(a) Active Members will receive a pro-rata refund for any unused portion of their membership fees paid after the effective discontinuation date;
(b) No refunds will be provided for membership fees relating to periods during which you had access to and could use the Service.
11.5 We reserve the right to suspend WELL temporarily for:
(a) Maintenance, updates, or technical improvements;
(b) Technical failures or platform issues beyond our reasonable control;
(c) Emergencies or unforeseen circumstances.
11.6 Temporary suspensions will be communicated to Members as soon as reasonably practicable. Where feasible, alternative session dates or make-up content may be provided.
12. Limitation of Liability and Indemnity
12.1 To the maximum extent permitted by law, Equip4Life Pty Ltd, its directors, employees, contractors, and affiliates ("the Equip4Life Parties") are not liable for any:
(a) Direct, indirect, incidental, consequential, or punitive damages;
(b) Loss of profits, revenue, data, or business opportunities;
(c) Personal injury, illness, or health complications;
(d) Damages arising from your use of or inability to use WELL;
arising from or relating to your participation in WELL, even if we have been advised of the possibility of such damages.
12.2 The Equip4Life Parties make no warranties, express or implied, regarding:
(a) The accuracy, reliability, or completeness of WELL content;
(b) The suitability of WELL for your specific circumstances or health goals;
(c) Uninterrupted or error-free access to the platform or sessions;
(d) Any specific health outcomes, weight loss results, or benefits you may achieve.
12.3 WELL is provided "as is" and "as available" without warranties of any kind.
12.4 You agree to indemnify, defend, and hold harmless the Equip4Life Parties from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
(a) Your use of WELL;
(b) Your violation of these Terms;
(c) Your violation of any third-party rights, including intellectual property rights;
(d) Any health outcomes or complications you experience.
12.5 Nothing in these Terms excludes, restricts, or modifies any consumer rights or guarantees provided under the Australian Consumer Law (ACL) or other applicable laws that cannot be lawfully excluded.
12.6 Where the ACL or other laws imply warranties or conditions into these Terms that cannot be excluded, our liability for breach of such warranties or conditions is limited, to the extent permitted by law, to:
(a) In the case of services: re-supply of the services or payment of the cost of having the services re-supplied;
(b) The amount of fees paid by you for WELL in the 12 months preceding the event giving rise to liability.
13. Privacy and Data Protection
13.1 Your privacy is important to us. We collect, use, and protect your personal information in accordance with the Privacy Act 1988 (Cth) and Australian Privacy Principles.
13.2 Our Privacy Policy (available at www.equip4life.com.au/privacy-policy) explains:
(a) What personal information we collect;
(b) How we use, store, and protect your information;
(c) Your rights regarding your personal information;
(d) How to contact us with privacy concerns.
13.3 By using WELL, you consent to the collection and use of your information as described in our Privacy Policy.
14. Dispute Resolution
14.1 If you have a complaint or dispute arising from these Terms or your use of WELL, please contact us first:

14.2 We will make reasonable efforts to resolve your complaint or dispute informally and in good faith.
14.3 If we cannot resolve your complaint within 30 days, either party may escalate the matter to mediation through a mutually agreed mediator or through Resolution Institute.
14.4 Each party will bear their own costs of mediation unless otherwise agreed.
15. Governing Law and Jurisdiction
15.1 These Terms are governed by the laws of the State of Victoria, Australia.
15.2 You irrevocably submit to the exclusive jurisdiction of the courts of Victoria, Australia, and courts of appeal from them, for any proceedings arising out of or in connection with these Terms.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Equip4Life regarding WELL and supersede all prior agreements, understandings, or representations.
16.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be deemed modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision will be severed, and the remaining provisions will continue in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Equip4Life.
16.4 Assignment
You may not assign or transfer these Terms or your membership without our prior written consent. Equip4Life may assign these Terms to any successor entity or related party.
16.5 Force Majeure
Equip4Life is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, telecommunications failures, or government actions.
16.6 Notices
We may provide notices to you via email to the address you provided during registration. You are responsible for ensuring your email address is current. Notices are deemed received 24 hours after email transmission.
16.7 Updates to Terms
We may update these Terms from time to time. Material changes will be notified to active Members at least 14 days before taking effect. Your continued use of WELL after changes take effect constitutes acceptance of the revised Terms. If you do not agree to revised Terms, you may cancel your membership.

By registering for WELL, clicking "I Agree," checking the acceptance box, or accessing any WELL content, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
